Interactions between
directors and shareholders can be problematic. In fact, until
recently, such contact was often proscribed. Now, investors/activists
are pushing open the door to the boardroom, creating a new
dynamic. We have assembled a panel to discuss this evolution,
appropriate boundaries for directors, and how to develop constructive
vs adversarial relationships with shareholders.
Points of view are varied, so we have 3 distinct perspectives:
 |
Duane
Nelles
Director at Qualcomm since
1988, chair of the audit committee, member of the
finance committee. |
 |
Michael
McConnell
Activist shareholder and
managing director of Shamrock Capital Advisors, a
private equity group founded by the Disney family
(chaired by Roy Disney). He is also a director at
iPass, Inc, and Collectors Universe. |
 |
Scott
Wolfe
Partner-in-charge
of the San Diego North County Latham & Watkins
office. He has practiced law with the firm since
1978 and is the head of the San Diego office Corporate
Department |
We will focus on the latest developments, including online shareholder
forums and director meetings with shareholders and we will answer
the following questions:
-
How might such exchanges be facilitated?
-
What
should the protocol be?
-
What topics are fair game?
-
What needs to be kept private?
-
What are the legal implications?
Approaches will vary by company – there
is no one-size-fits-all solution. While private
board interactions with investors
are more varied, there is much to learn from public
boards as they go through this process.
