"10 Ethical Commandments for Directors"

  1. Thou shalt serve the Shareholders' interests over thine own and those of management.

  2. Thou shalt communicate truthfully and candidly about the company, and with each other and with management and others in the company, or those dealing with the company, realizing that truth trumps all else in relationships.

  3. Thou shalt confront and deal with a perceived problem, and not assume it will disappear on its own.

  4. Thou shalt not pretend to understand that which thou doth not understand.

  5. Thou shalt preserve a constructive skepticism in receiving and evaluating management reports and recommendations.

  6. Thou shalt have the courage to ask questions, and to insist on satisfactory answers.

  7. Thou shalt have the courage to raise concerns and voice dissent.

  8. Thou shalt consider who will suffer harm by any proposed decision, and the reasonable alternatives to mitigate it.

  9. Thou shalt not nominate or appoint a merely "Trophy" director.

  10. Thou shalt not tolerate unethical behavior in the company.
